AuraRabbit Terms & Conditions
Effective Date: August 31, 2026
1. Agreement to Terms and Eligibility
AuraRabbit is operated by Dreamrabbit LLC (“AuraRabbit,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of AuraRabbit, including its websites, accounts, membership features, creator content, auctions, paid interaction sessions, and related services (collectively, the “Platform”).
By creating an account, purchasing a membership, accessing or using the Platform, participating in an auction, or otherwise using AuraRabbit, you agree to be bound by these Terms and any additional policies or agreements that apply to specific features of the Platform. If you do not agree to these Terms, you may not access or use AuraRabbit.
AuraRabbit is available only to individuals who are at least 18 years old. You may not create an account, purchase a membership, become a Creator, place a bid, participate in an auction, access a paid interaction session, or otherwise use AuraRabbit if you are under 18 years of age.
By using AuraRabbit, you represent and warrant that:
- you are at least 18 years old;
- you have the legal capacity to enter into these Terms;
- the information you provide to AuraRabbit is accurate and not misleading;
- you are authorized to use any payment method submitted through your account; and
- your use of the Platform does not violate these Terms or applicable law.
AuraRabbit may suspend, restrict, or terminate an account if AuraRabbit reasonably believes that the account is being operated by a person under 18 or otherwise violates these eligibility requirements.
If a Creator knows or reasonably suspects that an auction winner or paid-session participant is under 18, the Creator must not begin or continue the interaction and must promptly report the account to AuraRabbit. The Creator is not responsible for independently investigating the participant’s age or resolving any related payment or refund dispute.
A violation of AuraRabbit’s age requirement does not, by itself, create a right to a refund. Payment disputes involving alleged unauthorized payment methods, fraud, or other legally protected circumstances will be handled in accordance with applicable law and AuraRabbit’s payment policies.
2. Accounts, Registration, and Account Security
To use certain features of AuraRabbit, you must create an account and provide the information requested during registration. You agree to provide accurate, current, and complete information and to keep your account information reasonably up to date.
You may not create an account using false or misleading information, impersonate another person, misrepresent your identity or age, or create an account for another person without authorization.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account. You may not sell, transfer, assign, share, or otherwise provide access to your AuraRabbit account to another person.
You must promptly notify AuraRabbit if you know or reasonably suspect that your account has been accessed or used without authorization.
AuraRabbit may require additional information or verification when reasonably necessary to protect the Platform, investigate suspected fraud or misuse, enforce these Terms, comply with applicable law, or protect AuraRabbit, its Creators, or its users.
AuraRabbit may restrict, suspend, or terminate accounts that contain materially false information, are used by unauthorized persons, are compromised, are associated with fraudulent or abusive activity, or otherwise violate these Terms.
Creators are subject to additional onboarding, payment-account, and agreement requirements before receiving full Creator access. Completing registration alone does not guarantee approval or continued eligibility as a Creator.
3. Memberships, Subscription Billing, Renewals, Cancellation, and Refunds
Access to AuraRabbit’s member-facing Platform requires an active paid membership. By purchasing a membership, you authorize AuraRabbit and its payment processor to charge the payment method associated with your account for the applicable membership price, taxes if applicable, and other charges disclosed to you at the time of purchase.
3.1 Recurring Subscription
AuraRabbit memberships are recurring subscriptions. Unless you cancel your membership before your next billing date, your subscription will automatically renew and your payment method will be charged the then-applicable membership price for the next billing period.
The subscription price, billing frequency, any introductory or referral discount, and other material payment terms will be disclosed to you before you complete your purchase.
By completing your subscription purchase, you expressly authorize recurring charges in accordance with the subscription terms presented to you at checkout.
3.2 Promotional and Referral Pricing
AuraRabbit may offer promotional, introductory, referral, or other discounted pricing.
Unless expressly stated otherwise, a discount applies only for the period or transaction identified when the offer is presented. After any applicable introductory or discounted period ends, the subscription will renew at the regular membership price disclosed to you at checkout unless you cancel before the next charge.
Eligibility for promotional or referral pricing may be subject to additional conditions disclosed with the applicable offer.
3.3 Automatic Renewal and Cancellation
You may cancel your subscription through the subscription-management functionality provided by AuraRabbit.
Cancellation prevents future recurring charges but does not retroactively cancel a membership period that has already been charged. Unless otherwise required by applicable law, you will retain any access associated with the paid membership period until that access expires or otherwise ends under these Terms.
You are responsible for canceling your subscription before your next scheduled renewal charge if you do not want the subscription to renew.
AuraRabbit will not require you to continue paying for future subscription periods after an effective cancellation.
3.4 Failed and Past-Due Payments
If a subscription payment fails, AuraRabbit may restrict or suspend membership access.
For certain failed renewal payments, AuraRabbit may provide a three-day grace period during which membership access temporarily continues while payment is retried or resolved. If payment remains unsuccessful after the grace period, AuraRabbit may restrict or suspend membership access.
A failed initial membership payment does not create paid membership access.
3.5 No Refunds
Membership payments are non-refundable once charged, except where a refund is required by applicable law.
Canceling a membership does not entitle you to a refund or prorated credit for any portion of a billing period that has already been charged.
Failure to use AuraRabbit, failure to access available content, dissatisfaction with available content, voluntary account inactivity, or a decision to stop using the Platform does not create a right to a refund.
Nothing in this section limits any rights that cannot lawfully be waived, including rights relating to genuinely unauthorized payment transactions where applicable.
3.6 Account Suspension or Termination
Suspension, restriction, or termination resulting from your violation of these Terms does not, by itself, entitle you to a refund of membership charges already paid, except where required by applicable law.
3.7 Payment Processing
AuraRabbit uses third-party payment processors, including Stripe, to process subscription payments and provide certain billing-management services. Your use of those payment services may also be subject to the payment processor’s applicable terms and policies.
AuraRabbit does not guarantee that every payment method will remain available and may change supported payment methods or payment processors as reasonably necessary to operate the Platform.
4. User Conduct and Prohibited Activity
You are responsible for your conduct while using AuraRabbit and for all activity performed through your account. You must use the Platform lawfully, honestly, and in a manner that does not interfere with the rights, safety, or use of AuraRabbit by others.
You may not use AuraRabbit to:
- harass, threaten, intimidate, stalk, degrade, or abuse another user, Creator, or other person;
- post or submit content that is unlawful, fraudulent, defamatory, threatening, harassing, or otherwise violates another person’s rights;
- impersonate another person or entity, misrepresent your identity, age, affiliation, or authority, or provide materially false account information;
- create, operate, or permit the use of an account by a person under 18 years of age;
- use a payment method without authorization, engage in payment fraud, knowingly submit false payment disputes, or attempt to manipulate AuraRabbit’s payment, subscription, auction, or payout systems;
- manipulate auctions, bids, ratings, reviews, comments, follows, engagement metrics, or other Platform activity through fraudulent, deceptive, automated, or coordinated conduct;
- place bids without a genuine intent and ability to complete the transaction if you win;
- interfere with, disrupt, damage, overload, bypass, probe, reverse engineer, or attempt to gain unauthorized access to AuraRabbit, its systems, accounts, security measures, or underlying technology;
- introduce viruses, malicious code, automated scraping tools, bots, or other technology designed to interfere with or extract data from the Platform without AuraRabbit’s authorization;
- collect, harvest, disclose, or misuse personal information belonging to another person without authorization;
- upload, publish, distribute, or otherwise use content that infringes copyright, trademark, privacy, publicity, or other intellectual-property or proprietary rights;
- attempt to circumvent an account suspension, restriction, ban, payment restriction, auction restriction, or other enforcement action imposed by AuraRabbit; or
- use AuraRabbit for conduct that violates applicable law or facilitates unlawful activity.
AuraRabbit may investigate suspected violations of these Terms and may remove content, restrict functionality, cancel or invalidate abusive or fraudulent Platform activity where appropriate, suspend access, or terminate accounts when AuraRabbit reasonably determines that a violation has occurred.
Enforcement decisions may consider the nature, severity, frequency, and surrounding circumstances of the conduct. AuraRabbit is not required to apply identical enforcement measures to every violation where circumstances materially differ.
Nothing in these Terms requires AuraRabbit to tolerate conduct that threatens Platform security, other users, Creators, payment integrity, or the lawful operation of AuraRabbit.
5. Creator Content and Content Rights
Creators may upload content through Creator features made available by AuraRabbit. Creator Content is subject to the separate AuraRabbit Creator Agreement, which governs additional rights and obligations applicable to Creator Content.
6. Auctions, Bids, Payments, Attendance, and Refunds
AuraRabbit may allow eligible members to participate in auctions offered by Creators for paid interaction sessions or other auction-based experiences made available through the Platform.
6.1 Bids Are Binding
By placing a bid, you represent that you have a genuine intent and ability to complete the transaction if your bid becomes the winning bid.
Bids are binding. You may not cancel or withdraw a winning bid merely because you change your mind, no longer wish to participate, or become unavailable after bidding.
You may not bid on your own auction or engage in conduct intended to manipulate an auction, its price, or its outcome.
6.2 Payment Authorization and Automatic Charge
When placing a bid, you authorize AuraRabbit and its payment processor to authorize your payment method for the amount of your bid.
If your bid is the winning bid, you authorize AuraRabbit to automatically charge or capture the authorized amount without requiring additional approval from you.
Payment authorizations associated with losing bids may be released or canceled after the auction is resolved.
A temporary authorization appearing on a payment account does not necessarily mean that the amount has been finally charged.
6.3 Winning an Auction
The highest valid bid accepted by AuraRabbit when an auction closes may be designated as the winning bid.
A winning bidder is responsible for the full winning bid amount and for complying with the attendance and participation requirements associated with the auction.
Successful payment of the winning bid may be required before the winner receives access to the applicable interaction session.
6.4 Attendance Requirement
A winning bidder must be available and take the required action to participate in the applicable interaction session within the attendance period established and disclosed by AuraRabbit for that session.
Creators must likewise timely make themselves available and complete any required Platform action necessary to begin the interaction.
Failure to satisfy the applicable attendance requirements within the stated period may be treated as a late arrival or no-show.
6.5 Winner No-Show, Late Arrival, or Change of Mind
A winning bidder is not entitled to a refund merely because the bidder:
- changes their mind after bidding;
- chooses not to participate;
- fails to attend the paid session;
- fails to complete the required participation action within the applicable attendance period;
- arrives or attempts to participate after the attendance deadline; or
- otherwise fails to participate for reasons attributable to the winning bidder.
Failure to participate does not cancel the winning bid or eliminate the winner’s payment obligation.
6.6 Creator Non-Performance and Other Reviewable Circumstances
If the Creator fails to timely make the session available, does not appear, improperly ends the interaction, or another circumstance prevents the purchased interaction from being provided, AuraRabbit may review the transaction and determine the appropriate resolution.
AuraRabbit may also review transactions involving Platform or technical failure, suspected fraud, unauthorized payment activity, disputed attendance, or other circumstances requiring investigation.
Such review does not guarantee a refund. AuraRabbit may determine the appropriate resolution based on the circumstances and applicable law.
6.7 No Refund for Voluntary Non-Participation
Except where required by applicable law or where AuraRabbit determines otherwise after reviewing a qualifying issue under Section 6.6:
Bids are binding. A user who places a winning bid may not cancel the transaction or obtain a refund merely because the user changes their mind, fails to attend, arrives after the applicable attendance deadline, or otherwise elects not to participate. AuraRabbit may review transactions involving Creator non-performance, Platform or technical failure, suspected fraud, unauthorized payment activity, or other circumstances requiring review under applicable law.
6.8 Unauthorized Payments
Nothing in these Terms eliminates rights relating to genuinely unauthorized payment activity that cannot legally be waived.
A claim that another person, including a minor, used a payment method does not automatically establish that the transaction was unauthorized. Payment authorization disputes will be handled based on the circumstances and applicable law.
7. Creators and the Creator Agreement
AuraRabbit allows approved users to participate on the Platform as Creators and access Creator-specific features.
Becoming a Creator is subject to additional eligibility, onboarding, verification, payment-account, and contractual requirements established by AuraRabbit.
7.1 Creator Eligibility and Approval
Becoming a Creator is subject to AuraRabbit’s approval and applicable eligibility requirements. AuraRabbit may require a prospective Creator to submit an application, complete an onboarding process, or otherwise receive authorization from AuraRabbit before Creator access is granted.
Submission of an application, registration information, or other onboarding materials does not guarantee approval or Creator access. AuraRabbit may approve or decline prospective Creators based on Platform suitability, content type, authenticity, conduct, compliance considerations, and other factors AuraRabbit reasonably considers relevant to the community and Platform it operates.
7.2 Separate Creator Agreement
Creators are also subject to the separate AuraRabbit Creator Agreement.
By completing Creator onboarding and accepting the Creator Agreement, a Creator agrees to comply with both these Terms and the Creator Agreement.
The Creator Agreement governs additional rights and obligations specifically applicable to participation as a Creator on AuraRabbit.
7.3 Relationship Between These Terms and the Creator Agreement
These Terms continue to apply to Creators whenever they use AuraRabbit.
If these Terms and the Creator Agreement conflict regarding a matter specifically concerning a Creator’s participation as a Creator, the Creator Agreement controls with respect to that Creator-specific matter.
For matters not specifically governed by the Creator Agreement, these Terms continue to apply.
7.4 Creator Access
Registration as a Creator does not, by itself, provide full access to Creator features.
AuraRabbit may require completion of its Creator onboarding process, payment-account onboarding, acceptance of the Creator Agreement, and other applicable requirements before granting or continuing Creator access.
AuraRabbit may restrict, suspend, or terminate Creator privileges in accordance with these Terms and the Creator Agreement.
8. Intellectual Property and Copyright Complaints
AuraRabbit respects intellectual-property rights and expects all users and Creators to do the same.
8.1 AuraRabbit Intellectual Property
The AuraRabbit name, branding, logos, Platform design, software, interfaces, graphics, functionality, and other materials created or owned by AuraRabbit are protected by applicable intellectual-property laws.
Except as expressly permitted by AuraRabbit, you may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit AuraRabbit’s proprietary materials or technology.
Nothing in these Terms transfers ownership of AuraRabbit’s intellectual property to you.
8.2 Responsibility for Submitted Content
Any person submitting content through AuraRabbit must have the legal right to do so.
Creators may not upload or distribute content that infringes another person’s copyright, trademark, publicity, privacy, or other proprietary rights.
Additional Creator-specific content obligations are governed by the AuraRabbit Creator Agreement.
8.3 Copyright Infringement Notices
If you believe material available through AuraRabbit infringes a copyright that you own or are authorized to enforce, you may submit a written copyright infringement notice to:

The notice should identify the copyrighted work claimed to have been infringed, identify the material claimed to be infringing with sufficient information for AuraRabbit to locate it, provide appropriate contact information, include the statements and signature required by applicable copyright law, and otherwise satisfy the requirements of the Digital Millennium Copyright Act (“DMCA”).
AuraRabbit may remove or disable access to material in response to a valid copyright infringement notice.
8.4 Counter-Notifications
If content you submitted is removed or disabled because of a copyright complaint and you believe the removal resulted from mistake or misidentification, you may submit a valid counter-notification in accordance with the DMCA.
AuraRabbit may provide the counter-notification to the complaining copyright owner or authorized representative and may restore the affected material when permitted by law.
The statutory process generally permits restoration following a valid counter-notice after the applicable waiting period unless AuraRabbit receives notice that the copyright claimant has initiated an action seeking to restrain the alleged infringement.
8.5 Repeat Infringers
AuraRabbit may suspend or terminate accounts of users or Creators who repeatedly infringe intellectual-property rights.
AuraRabbit will maintain and reasonably implement a policy providing for termination of repeat infringers in appropriate circumstances, consistent with applicable law.
8.6 False or Abusive Copyright Claims
You may not knowingly submit materially false or misleading copyright notices or counter-notifications.
AuraRabbit may take appropriate action regarding abuse of its copyright-reporting procedures and reserves all rights and remedies available under applicable law.
9. Account Suspension, Termination, and Effect of Termination
AuraRabbit may restrict, suspend, or terminate access to the Platform when an account violates these Terms, applicable Platform policies, or applicable law, or when action is reasonably necessary to protect AuraRabbit, its users, Creators, payment systems, or the security and integrity of the Platform.
9.1 Suspension or Termination by AuraRabbit
AuraRabbit may restrict, suspend, or terminate an account for reasons including:
- violation of these Terms;
- fraudulent, abusive, deceptive, or unlawful activity;
- unauthorized payment activity or abuse of payment or dispute systems;
- auction manipulation or failure to comply with binding auction obligations;
- harassment, threats, impersonation, or other prohibited conduct;
- copyright or intellectual-property violations, including repeat infringement;
- use of AuraRabbit by or for a person under 18;
- attempts to circumvent a prior suspension, restriction, or termination; or
- conduct that AuraRabbit reasonably determines creates material risk to the Platform, its users, Creators, or operations.
Depending on the circumstances, AuraRabbit may take action immediately and is not required to provide a warning before restricting or terminating an account.
9.2 Creator Accounts
Creators remain subject to these Terms and the separate AuraRabbit Creator Agreement. Creator-specific suspension, termination, and other consequences may be governed by the Creator Agreement.
If Creator privileges are terminated, that does not necessarily prevent AuraRabbit from separately restricting or terminating the underlying AuraRabbit account where permitted under these Terms.
9.3 Effect of Suspension or Termination
Suspension or termination may result in loss of access to AuraRabbit, including memberships, Platform features, auctions, interaction sessions, account information, or other functionality associated with the account.
Termination resulting from your violation of these Terms does not, by itself, entitle you to a refund or prorated credit for amounts already charged, except where required by applicable law.
Amounts already owed as a result of valid transactions, including binding winning auction bids, are not automatically canceled because an account is later restricted, suspended, or terminated.
9.4 User-Initiated Account Deletion
You may delete your AuraRabbit account through functionality provided by the Platform.
Deleting your account does not automatically reverse completed payments, eliminate outstanding payment obligations, cancel valid charges already incurred, or create a right to a refund.
Account deletion and the handling or retention of information associated with a deleted account are also subject to AuraRabbit’s Privacy Policy and applicable law.
9.5 Survival
Any provisions of these Terms that by their nature should continue after suspension, termination, or account deletion will remain effective, including provisions relating to payment obligations, intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and enforcement of these Terms.
10. Third-Party Services and Payment Providers
AuraRabbit uses third-party service providers to operate certain parts of the Platform, including payment processing, billing, payment authorization, payment and payout services, and real-time interaction infrastructure.
10.1 Payment Services
AuraRabbit currently uses Stripe to process membership payments, auction-related payment authorizations and charges, billing management, and certain payment and payout services.
When you make or receive payments through AuraRabbit, certain payment information and transaction data may be processed by Stripe in accordance with Stripe’s applicable terms and privacy practices.
Stripe maintains separate service terms governing the payment products it provides.
AuraRabbit does not independently control Stripe’s banking networks, card issuers, payment-processing infrastructure, or decisions made by those third parties.
10.2 Interaction Session Provider
AuraRabbit currently uses Daily to provide technology supporting certain real-time audio or video interaction sessions associated with auctions.
Your ability to participate in such sessions may depend on third-party infrastructure, internet connectivity, device compatibility, browser functionality, permissions, and other technical conditions outside AuraRabbit’s direct control.
Daily provides real-time video and audio infrastructure through its API and related services.
10.3 Third-Party Availability
AuraRabbit does not guarantee that a third-party service will always be available, uninterrupted, error-free, or compatible with every device or network.
Temporary interruption or failure of a third-party service does not automatically create a right to a refund.
However, where a third-party or Platform failure materially prevents a paid auction interaction from being provided, AuraRabbit may review the transaction under the auction provisions of these Terms.
10.4 Changes to Service Providers
AuraRabbit may replace, add, or discontinue third-party service providers when reasonably necessary to operate, secure, maintain, or improve the Platform.
These Terms do not guarantee continued use of any particular third-party provider.
10.5 Third-Party Terms
Your use of certain third-party services may also be subject to terms, policies, or requirements imposed by the applicable provider.
Nothing in these Terms modifies rights or obligations that apply directly between you and a third-party provider where such separate terms legally apply.
11. Disclaimers and Platform Availability
AuraRabbit provides the Platform and its features on an “as is” and “as available” basis, to the fullest extent permitted by applicable law.
AuraRabbit does not guarantee that the Platform will always be uninterrupted, error-free, secure, or available at every time or on every device, browser, network, or connection.
AuraRabbit does not guarantee that any particular Creator will remain active, continue posting, participate in future auctions, maintain a particular posting schedule, or continue offering any specific type of content or interaction.
AuraRabbit also does not guarantee that any user or Creator will receive a particular level of engagement, popularity, earnings, exposure, auction participation, or other result from using the Platform.
Temporary outages, maintenance, third-party service interruptions, internet or device issues, or other technical problems may affect Platform availability.
Where a technical failure materially affects a paid auction interaction, the transaction may be reviewed under Section 6 rather than automatically creating a right to a refund.
To the fullest extent permitted by applicable law, AuraRabbit disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this section excludes any warranty, consumer protection, or other legal right that cannot lawfully be waived or disclaimed.
12. Limitation of Liability
To the fullest extent permitted by applicable law, AuraRabbit and its owners, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your access to or use of the Platform.
This includes, where legally permitted, damages arising from loss of data, loss of anticipated profits or earnings, loss of business opportunity, interruption of service, inability to access the Platform, actions of other users or Creators, or reliance on content or activity available through AuraRabbit.
12.1 Maximum Liability
To the fullest extent permitted by applicable law, AuraRabbit’s aggregate liability arising out of or relating to these Terms or your use of the Platform will not exceed the greater of:
- the amount paid to AuraRabbit during the six months before the claim; or
- $100.
This limitation applies regardless of the form of action, whether based in contract, tort, negligence, statute, or another legal theory, except where applicable law prohibits such a limitation.
12.2 User and Creator Conduct
AuraRabbit is not responsible for statements, conduct, content, representations, or actions of users or Creators solely because those persons use the Platform.
Nothing in this section limits AuraRabbit’s obligations expressly assumed elsewhere in these Terms, including AuraRabbit’s ability to review qualifying auction disputes under Section 6.
12.3 Technical and Third-Party Events
AuraRabbit will not be liable for losses resulting solely from internet failures, device failures, payment-network interruptions, third-party service outages, malicious attacks, or other events outside AuraRabbit’s reasonable control, except to the extent liability cannot lawfully be excluded.
12.4 Non-Waivable Rights
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
If applicable law does not permit exclusion of a particular category of damages or limitation of liability in a particular circumstance, the applicable limitation will apply only to the maximum extent permitted by law.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AuraRabbit and its owners, officers, employees, affiliates, contractors, and service providers from and against third-party claims, liabilities, damages, losses, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
- your violation of these Terms;
- your unlawful, fraudulent, abusive, or unauthorized use of the Platform;
- your infringement or violation of another person’s intellectual-property, privacy, publicity, contractual, or other legal rights;
- content, information, representations, or materials that you submit or provide through AuraRabbit;
- your misuse of payment methods, payment disputes, auction functionality, or other financial features of the Platform;
- your interaction or conduct with another user or Creator where the claim results from your own acts or omissions; or
- your violation of applicable law.
13.1 Creator Obligations
Creators may have additional indemnification obligations under the separate AuraRabbit Creator Agreement.
13.2 Control of Claims
AuraRabbit may assume control of the defense or settlement of any matter subject to indemnification under this section.
You agree to reasonably cooperate with AuraRabbit in connection with the defense of such a claim.
AuraRabbit will not require you to indemnify AuraRabbit for losses to the extent they result from AuraRabbit’s own conduct where such indemnification is prohibited by applicable law.
14. Dispute Resolution, Arbitration, Class-Action Waiver, and Governing Law
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT.
14.1 Informal Resolution
Before initiating arbitration, you and AuraRabbit agree to make a reasonable good-faith effort to resolve the dispute informally.
A party seeking to initiate a dispute must provide the other party reasonable written notice describing the nature of the dispute, the relevant facts, and the relief requested. A user may provide such notice through a contact method made available by AuraRabbit for that purpose. AuraRabbit may provide such notice using the contact information associated with the user’s account.
If the dispute is not resolved through reasonable informal efforts, either party may proceed as permitted below.
14.2 Agreement to Individual Binding Arbitration
Except for the matters specifically excluded under Section 14.6, any dispute, claim, or controversy arising out of or relating to these Terms, AuraRabbit, your account, your membership, an auction or transaction, or your use of the Platform will be resolved through final and binding arbitration on an individual basis.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except where those rules conflict with a provision of these Terms that may lawfully control.
The arbitrator will have authority to award the same individual remedies that would otherwise be available in court, subject to these Terms and applicable law.
14.3 Federal Arbitration Act
This arbitration agreement involves interstate commerce and will be governed by the Federal Arbitration Act (“FAA”), to the extent applicable.
The arbitration provisions of these Terms are intended to be interpreted and enforced consistent with applicable federal arbitration law.
14.4 Waiver of Jury Trial
To the fullest extent permitted by law, you and AuraRabbit each waive the right to a trial before a judge or jury for disputes required to be arbitrated under this section.
An arbitrator, rather than a judge or jury, will decide those disputes.
14.5 Class-Action and Representative-Action Waiver
You and AuraRabbit agree that disputes subject to arbitration will be brought only in an individual capacity.
Neither you nor AuraRabbit may bring or participate in a class action, class arbitration, collective action, consolidated action, or representative proceeding against the other with respect to a dispute required to be arbitrated, except where applicable law prohibits enforcement of this waiver.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.
14.6 Exceptions to Arbitration
The requirement to arbitrate does not prevent either party from:
- bringing an eligible individual claim in small-claims court;
- seeking temporary, preliminary, or other emergency injunctive relief from a court when necessary to prevent immediate or irreparable harm;
- seeking judicial relief concerning infringement, misappropriation, or unauthorized use of intellectual-property rights; or
- pursuing a claim that applicable law expressly provides cannot be subjected to mandatory predispute arbitration.
14.7 Arbitration Costs
Arbitration fees and costs will be allocated in accordance with the applicable AAA Consumer Arbitration Rules and fee schedule, except where applicable law requires a different allocation.
AuraRabbit will not require a consumer to bear arbitration costs that applicable law or the governing arbitration rules require AuraRabbit to pay.
14.8 Governing Law
Except to the extent governed by the Federal Arbitration Act or another law that cannot validly be displaced by agreement, these Terms and disputes arising out of or relating to AuraRabbit will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Nothing in this choice-of-law provision eliminates consumer protections or other rights that applicable law does not permit the parties to waive.
14.9 Court Proceedings
For any dispute that is not subject to arbitration and may properly be brought in court, the parties consent to jurisdiction and venue in a court of competent jurisdiction, subject to any venue or consumer-protection right that applicable law does not permit to be waived.
14.10 Severability of Arbitration Provisions
If a portion of this Section 14 is determined to be invalid or unenforceable, the remainder will remain effective to the fullest extent permitted by law, unless the invalid provision is so essential to the arbitration agreement that applicable law requires otherwise.
15. Changes to These Terms
AuraRabbit may update or modify these Terms from time to time to reflect changes to the Platform, applicable law, business practices, security requirements, or other operational needs.
15.1 Notice of Changes
When AuraRabbit makes material changes to these Terms, AuraRabbit may provide notice through the Platform, by email, through an account notification, or by another reasonable method.
The updated Terms will identify their effective date.
15.2 Acceptance of Updated Terms
Your continued use of AuraRabbit after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.
Where applicable law or the nature of a material change requires additional affirmative consent, AuraRabbit may require you to review and expressly accept the updated Terms before continuing to use some or all of the Platform.
Electronic agreements and records generally cannot be denied legal effect solely because they are electronic, and Florida law recognizes contracts formed through electronic transactions.
15.3 If You Do Not Agree
If you do not agree to an updated version of these Terms, you must stop using AuraRabbit and, where applicable, cancel your membership before future renewal charges occur.
Amounts already charged or obligations already incurred before termination remain subject to the applicable provisions of these Terms.
15.4 Existing Disputes
Unless applicable law permits otherwise and the parties validly agree, AuraRabbit will not use a later modification of these Terms solely to materially alter the rules governing a dispute that arose before the updated Terms became effective.
16. General Provisions, Notices, and Effective Date
16.1 Notices and Communications
AuraRabbit may provide notices relating to these Terms, your account, membership, transactions, or the Platform through email, account notifications, notices displayed on the Platform, or another reasonable electronic method.
You are responsible for maintaining accurate contact information associated with your AuraRabbit account.
Electronic contracts, records, and signatures generally may not be denied legal effect solely because they are electronic under federal law and Florida law.
16.2 Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
16.3 No Waiver
AuraRabbit’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.
A waiver is effective only when expressly made by AuraRabbit in writing.
16.4 Entire Agreement
These Terms, together with any policies or additional agreements expressly incorporated into them, constitute the agreement between you and AuraRabbit regarding your use of the Platform.
Creators are additionally governed by the separate AuraRabbit Creator Agreement with respect to Creator-specific matters, as described in Section 7.
16.5 Assignment
You may not transfer or assign your rights or obligations under these Terms without AuraRabbit’s prior written consent.
AuraRabbit may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or other transfer of the Platform or its business, subject to applicable law.
16.6 Headings
Section titles and headings are provided for convenience only and do not alter the meaning or interpretation of these Terms.
16.7 Effective Date
These Terms are effective as of August 31, 2026 and remain effective until replaced by an updated version in accordance with Section 15.
By creating an account, purchasing a membership, or otherwise accessing or using AuraRabbit after these Terms become effective, you acknowledge that you have read and agree to be bound by them.
