1. Introduction

Welcome to AuraRabbit

AuraRabbit is a membership-based digital space designed to connect Rabbitors (our term for creators) and fans through live, interactive video sessions, exclusive content sharing, and engaging social interactions. AuraRabbit offers a unique way for Auralings (our term for fans or users) to bid on one-on-one live experiences, access exclusive creator content, and participate in a thriving community of Rabbitors and fans. Throughout these Terms, 'the Platform,' 'we,' 'our,' and 'us' refer to AuraRabbit.

These Terms and Conditions (“Terms”) govern your access to and use of AuraRabbit, including all services, features, and tools provided by the Platform. By registering for or using the Platform, you acknowledge that these Terms constitute a legally binding agreement between you and AuraRabbit.

2. Account Registration and Eligibility

Account Creation

Users must register for an account to access certain features of the Platform. By registering, users agree to:

1. Provide accurate, complete, and up-to-date information, such as their full name, email address, and date of birth.
2. Update their information promptly if changes occur.
3. Comply with platform rules and policies regarding account usage and content interaction.

User vs. Creator Accounts

User Accounts:

1. Participate in auctions, purchase content, tip creators, or engage with platform features.
2. Access live and recorded content, interact with creators, and use features like raffles, commenting, or content sharing.
3. Adhere to platform guidelines, including respectful communication, bidding rules, and payment obligations.

Creator Accounts:

1. Host auctions, provide live sessions, post exclusive content, and sell recorded materials.
2. Comply with content guidelines, fulfill auction commitments, and maintain professional conduct.
3. Post exclusive or differentiated content on AuraRabbit, as outlined in the Creator Agreement provided upon registration.

By registering for any account type, you agree to the terms outlined in these Terms and, if applicable, the Creator Agreement.

Eligibility

1. Users must be at least 18 years old or the age of majority in your jurisdiction.
2. Provide accurate information during registration.
3. Meet any additional requirements specified for User or Creator Accounts.

AuraRabbit reserves the right to deny or terminate accounts at its sole discretion. The Platform may request verification of eligibility, including proof of age.

Account Management

Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. To ensure account security, users should:

• Use strong and unique passwords.
• Enable multi-factor authentication (MFA). While MFA is optional, AuraRabbit strongly recommends enabling this feature for enhanced account security. AuraRabbit may require MFA for high-risk activities (e.g., accessing financial data or making large transactions).
• Report any unauthorized access or security breaches immediately to [email protected]. AuraRabbit will not be liable for losses resulting from unauthorized account access or activity conducted under a user's account.

Account Inactivity and Deactivation

To maintain an active and engaged community, AuraRabbit may deactivate accounts that remain inactive for an extended period.

Definition of Inactivity:

No logins, interactions, or account activity for a continuous period of 12 months.

Deactivation Process:

• Users will receive a notification via email 30 days before account deactivation, allowing them to log in and reactivate their account.
• After deactivation, users must contact [email protected] to request reactivation, subject to AuraRabbit’s approval.

Content Preservation:

AuraRabbit will retain content and data associated with inactive accounts for 6 months after deactivation, after which it may be permanently deleted unless required by law.

Platform Features and Services

Membership Fees and Referral Bonuses

• Users can join the platform by paying a recurring monthly membership fee of:
• $2.99 with a referral code.
• $4.99 without a referral code.
• By subscribing, you authorize AuraRabbit to charge your payment method for recurring membership fees until canceled.
• Membership fees are billed automatically on a monthly basis unless canceled by the user through their account settings.
• To avoid charges for the next billing cycle, cancellation requests must be submitted at least 72 hours before the renewal date.

Social Engagement Features

Content Feed

• Creators and users can share posts, images, and videos on public or private feeds, fostering a vibrant community experience.
• Users can express themselves, interact with others, and engage with the platform's audience through these feeds.
• Privacy settings allow users to control the visibility of their posts, with options such as public, private, or limited audiences.

User Interaction

• Users can follow creators to stay informed about their latest posts and activities.
• Engagement tools enable users to like, comment on posts, and participate in discussions.
• All interactions must comply with platform guidelines to maintain a respectful and safe environment.

Community Guidelines for Engagement

• Users and creators must adhere to the behavioral standards outlined in these Terms, avoiding activities such as spam, harassment, or sharing inappropriate content.
• Comments, likes, and other social interactions are monitored to ensure compliance with AuraRabbit's standards.
• Violations of these guidelines may result in penalties, including content removal, fines, or account suspension, as detailed in the Behavioral Standards and Penalties section.

Planned Behavioral Standards and Penalties

Maintaining Respect and Safety

At AuraRabbit, respect is our priority. To maintain a safe and engaging platform, we will be implementing a Behavioral Standards & Penalty System to discourage inappropriate behavior across all interactions, including live sessions, comment sections, and private messages.

Offense Categories and Penalties

• Mild Offenses ($10 Fine)

  Slightly rude or boundary-pushing comments that may make others uncomfortable but are not outright offensive.

  • Overly personal remarks.
  • Passive-aggressive comments.

• Moderate Offenses ($20 Fine)

  Comments that are mocking, disrespectful, or suggestive but not aggressively vulgar.

  • Insulting remarks.
  • Dismissive comments.

• Severe Offenses ($50 Fine)

  Crude, vulgar, or degrading comments that create a toxic environment.

  • Degrading speech or hateful language.
  • Vulgar or inappropriate suggestions.

Enforcement and Escalation

• Users will be notified of penalties applied to their account, including the reason and evidence supporting the decision.
• Fines must be paid within 3 days of notification. Accounts with no valid payment method will be restricted until payment is received.
• Repeated violations will result in escalating penalties, including double fines, temporary suspensions, or permanent bans.
• Users may dispute penalties by contacting [email protected] within 7 days of notification. Appeals will be reviewed within 14 business days.

Zero-Tolerance Policy for Harmful Behavior

Community Standards

AuraRabbit strictly prohibits threats, harassment, racial discrimination, bullying, or similar harmful behavior. These actions will not incur fines but will instead result in immediate suspension or permanent removal from the platform. AuraRabbit is committed to fostering a safe, respectful, and inclusive community. Violations of this policy will be addressed swiftly to uphold these standards.

Fines Allocation:

1. Creator Compensation: A portion of fines is directed to creators involved in flagged interactions as compensation for disruptions.
2. Platform Enhancements: Remaining fines are reinvested into platform improvements, security measures, and operational enhancements.
3. AuraRabbit is committed to full transparency regarding the use of collected fines and may provide periodic updates on platform improvements funded by fines.

Bidding for Live Sessions

Auction System

1. Users bid competitively for the opportunity to connect with creators in live sessions.
2. The highest bidder at the end of the auction wins the session.
3. Session limits, boundaries, and topics are set by creators.

Auction System Policy

Rules and Regulations

1. Minimum Bids and Increments: Auctions have a minimum starting bid determined by the creator. Bid increments are automatically set by the Platform to maintain fair competition.
2. Winning Bids: The highest bid at the end of the auction wins. Winning bids are binding, and the user must complete the payment to secure the session.
3. Payment Process:
   • Winning bidders must complete payment immediately upon the conclusion of the auction to secure their session with the creator.
   • AuraRabbit reserves the right to pre-authorize payment methods during the auction to secure funds for bids placed.
   • Failure to complete payment within 5 minutes may result in:
     • Forfeiture of the winning bid.
     • The session being offered to the next highest bidder or canceled entirely.
     • Account penalties, including restrictions on future bidding.
4. Creator Responsibility: Creators must honor the auction outcome and deliver the agreed live session. Repeated cancellations by creators may result in penalties, including reduced visibility, account suspension, penalty fees, or removal from the platform.
5. Prohibited Bidding Practices:
   • Users are prohibited from manipulating auctions, including fake bidding or using multiple accounts to inflate bid prices.
   • Violations may result in:
     • Account suspension or termination.
     • Revocation of bidding privileges.

Recorded Video Sessions

Personalized Session Access

1. Users can purchase personalized recordings of their live sessions for an additional fee (e.g., $20).
2. These recordings are stored securely and accessible for download after purchase.
3. Creators retain full ownership of recorded sessions. Users are granted a non-exclusive, non-transferable license for personal use only.
4. Users are prohibited from copying, distributing, or publicly displaying recordings without explicit written consent from both the creator and AuraRabbit.

Planned Features

Upcoming Enhancements

1. Users can tip creators during live sessions or as standalone gestures of support.
2. A 15% service fee applies to transactions for platform operations, secure transactions, and ongoing improvements.
3. AuraRabbit plans to introduce raffles where users can enter for a chance to win time with creators.

Content Ownership and Licensing

User-Generated Content

1. Ownership: Creators and users retain ownership of all content they upload, produce, or share on the platform, including but not limited to live sessions, auctions, recorded videos, public posts, or group interactions.
2. License to Platform: By uploading or sharing content on AuraRabbit, creators and users grant the platform a worldwide, non-exclusive, royalty-free license to:
   • Distribute, display, and monetize the content within the scope of the platform’s features.
   • Use the content to promote platform activities, including marketing and user engagement, with explicit permissions where applicable.
3. Moral Rights: Creators and users retain their moral rights to the content they upload or produce. AuraRabbit will not use content in a manner that harms the integrity, reputation, or intent of the original creator.

Prohibited Content and User Responsibility

Content Restrictions

1. Violent or Hateful Content: Posts or messages promoting violence, hate speech, or threats against individuals or groups.
2. Infringing Content: Uploading materials that violate intellectual property rights, including copyrighted media or trademarks, without proper authorization.
3. Sexually Explicit Content: Content that is unlawful, exploitative, non-consensual, or violates community guidelines.
4. Illegal Activities: Content promoting child exploitation, human trafficking, criminal acts, or other unlawful behaviors.
5. Deceptive Practices: Phishing attempts, impersonation, or scams designed to mislead users.
6. Unauthorized Sharing: Posting private, financial, or proprietary information without consent.

Respectful Communication

1. Harassment or Bullying: Repeated, unwanted, or hostile interactions directed at users or creators.
2. Hate Speech: Discriminatory language based on race, religion, gender, sexual orientation, or other protected characteristics.
3. Sexual Harassment: Inappropriate advances, comments, or content of a sexual nature without consent.

Prohibited Social Behaviors

Ensuring a Safe and Positive Environment

1. Spamming: Posting repetitive, irrelevant, or unsolicited messages or links.
2. Unsolicited Promotions: Advertising external platforms, products, or services without prior approval from AuraRabbit.
3. Misinformation: Sharing false, misleading, or harmful content that may deceive or negatively impact users or the platform’s reputation.
4. Inappropriate Comments: Rude, dismissive, or harmful remarks.

Flagging and Reporting

Reporting Violations

1. Users may flag content or behaviors that violate guidelines through AuraRabbit's built-in reporting tools.
2. The compliance team will review flagged content or interactions and take appropriate action, including content removal, fines, or account suspension.
3. Violators will be notified of penalties and may appeal decisions within 7 days by contacting [email protected].

Penalties for Violations

1. Minor Violations: Temporary restrictions or fines ranging from $10 to $20.
2. Severe Violations: Content removal, fines up to $50, and possible account suspension.
3. Zero-Tolerance Violations: Immediate suspension or permanent removal for actions such as threats, harassment, or illegal activities.

Content Ownership upon Account Termination

Rights and Retention

1. Retention by Creators: Creators retain ownership of their content.
2. Platform Retention: AuraRabbit may retain copies of content for compliance with legal obligations, dispute resolution, or enforcement of these Terms.
3. Removal Requests: Creators may request removal of their content within 30 days of account termination by contacting [email protected].

Purchaser Access to Content

Indefinite Access with Exceptions

1. Content removed due to violations of the Prohibited Content Policy will not be accessible.
2. Creators may request removal, subject to approval.
3. Legal obligations or technical issues may necessitate removal.
4. Platform Failure: If unforeseen technical issues prevent continued access, AuraRabbit may provide platform credits or other compensation at its discretion.

Earnings Forfeiture

Creators Forfeit Earnings Derived from Content Removed for Violating These Terms

1. Refunds to Users: Earnings from prohibited content may be refunded to affected users at AuraRabbit’s discretion.

Recorded Session and Purchases

Personalized versions of recorded sessions may be available for purchase by the participating user.

1. Use the recording solely for personal, non-commercial purposes.
2. Not copy, distribute, or publicly display the recording without the explicit consent of the creator and AuraRabbit.
3. AuraRabbit reserves the right to:
   • Set pricing for session recordings.
   • Determine terms of availability, including the duration for which recordings remain accessible.

Ownership of Recorded Sessions

Creators retain full ownership of any recorded sessions they produce.

1. Users purchasing recorded sessions are granted a non-exclusive, non-transferable license to use the recordings for personal, non-commercial purposes only.
2. Users are prohibited from copying, distributing, or publicly displaying recordings without explicit written consent from both the creator and AuraRabbit.

Marketing Permissions

AuraRabbit may use recorded session clips for promotional purposes only with the explicit consent of both the creator and user.

1. Marketing use may include:
   • Highlight reels or previews of live sessions.
   • Testimonials or case studies showcasing platform features.
2. AuraRabbit will not modify or repurpose recordings without prior written approval from all parties involved.

Retention and Accessibility

Users retain access to purchased recordings indefinitely unless:

1. The content is removed due to violations of the Prohibited Content Policy.
2. The creator requests content removal, and AuraRabbit deems the request valid.
3. Legal obligations or technical issues prevent continued access.

Prohibited Use

Users and creators may not:

1. Resell, redistribute, or repurpose recordings for commercial gain.
2. Modify or alter purchased recordings in a way that violates the terms of use.

5. Payments and Refunds

Payment Terms

1. Payments for auctions, tips, recorded sessions, and other platform services are processed through third-party providers (e.g., Stripe). Users are responsible for providing accurate and up-to-date payment information.
2. Users must ensure their payment methods are valid and have sufficient funds to process transactions. Failed transactions due to expired, declined, or otherwise inactive payment methods are the user’s sole responsibility.

Platform Liability for Payment Processing

1. Payment processing is handled by third-party providers, and AuraRabbit is not responsible for delays, errors, or issues caused by these providers, including but not limited to:
• Failed transactions due to incorrect payment details.
• Delays in fund transfers to creators.
• Unauthorized transactions or disputes with the payment processor.
2. Users should contact the payment processor directly for such issues. While AuraRabbit may assist in facilitating communication with the processor, resolution is subject to the policies and timelines of the respective third-party provider.

Service Fees

1. Winning bids and other transactions include a 15% service fee at checkout, which supports platform operations, secure payments, and ongoing improvements.
2. Users are responsible for reviewing all fees before completing a transaction.

Refund Policy

General Refund Policy

1. All sales are final, and refunds are not provided for completed transactions or delivered digital content. Refunds may only be granted under the following circumstances, provided requests are submitted within the applicable timeframe:
   • Within 72 hours for technical errors preventing access to purchased content.
   • Within 7 days for non-delivery of purchased services (e.g., live session or recording).
   • For verified fraudulent transactions.
2. Refund requests submitted outside these timeframes will not be reviewed or processed.

Refund Limitations

1. No refunds for user-side issues such as session termination, poor connectivity, or missed sessions.
2. Refunds for dissatisfaction only if misconduct by the creator is documented.
3. Claims must be reviewed by AuraRabbit’s support team.

Refund Policy for Recorded Sessions

1. Refunds for recorded session purchases will only be issued in cases of:
   • Non-delivery of the recording within the agreed timeframe.
   • Verified technical errors preventing access to the purchased content.
2. Refunds will not be issued for recorded sessions that have been successfully delivered.

Refund Policy for Cancellations

1. If a creator cancels the scheduled live session after an auction, the winning bidder will be refunded in full.
2. Refunds will not be issued for user-initiated cancellations after winning an auction.

Money-Back Guarantee

1. AuraRabbit offers a 48-hour money-back guarantee for new users who are dissatisfied with the platform. Refunds under this policy are limited to the membership fee and must be requested within 48 hours of registration. Refund requests outside this window will not be honored.

Refund Policy for Membership Fees

1. Membership fees are non-refundable unless:
   • A verified platform error results in a duplicate charge.
   • The user requests a refund for accidental charges within 48 hours of the billing date.
2. No partial refunds will be issued for unused portions of the billing cycle after cancellation.
3. Users may cancel their membership at any time through their account settings.
4. Upon cancellation, access to member-exclusive features will remain active until the end of the current billing cycle. No partial refunds will be issued for unused portions of the billing cycle.

Penalties for Violations

1. Fees for rude or inappropriate comments range from $50 to $500, depending on the severity of the violation. Users will be notified of penalties, and charges will be applied to the payment method on file.
2. Disputes regarding penalties may be addressed to [email protected] and reviewed within 14 business days.

Technical Errors

1. Refunds may be issued for verified technical errors caused by the platform, including:
   • Failure to access purchased content.
   • Prolonged platform downtime exceeding 12 consecutive hours.
2. Refunds for technical errors may be issued as:
   • Platform credits (preferred), or
   • Monetary refunds to the original payment method.
3. Exclusions: Technical errors do not include issues caused by user-side factors, such as poor internet connectivity, unsupported devices or browsers, or user error (e.g., incorrect credentials).

Fraudulent Transactions

1. Refunds for unauthorized transactions will be processed only after verification through the payment processor or platform investigation. Users may be required to provide supporting evidence (e.g., screenshots, bank statements).

Refund Review Process

1. Review Timeline: Refund requests will be reviewed within 7 business days of submission.
2. Processing Timeline: Approved refunds will be processed within 7 business days from the date of approval. Refunds may be issued to the original payment method or as platform credits, as applicable.

Appeals & Disputes

1. Denied refund requests can be appealed within 7 days.
2. Appeals will be reviewed within 14 business days.
3. Unresolved disputes follow the Dispute Resolution clause.

Creator Revenue Sharing

1. Creators earn a percentage of revenue from various platform interactions. Specific revenue-sharing terms are outlined in the Creator Agreement.

Termination of Accounts

1. AuraRabbit may terminate accounts for:
   • Violations of terms.
   • Unacceptable conduct or failure to comply with platform policies.
2. Upon account termination, the user will lose access to all purchased content.

8. Limitation of Liability

AuraRabbit is not liable for any damages arising from the use or inability to use the Platform, including but not limited to:

1. Loss of Earnings: Loss of potential or actual earnings by creators due to platform downtime, account suspension, or termination.
2. Service Interruptions: Interruption, suspension, or termination of platform services, whether planned (e.g., scheduled maintenance) or unplanned (e.g., technical issues, force majeure).
3. User or Creator Misconduct: Misconduct by users or creators, including but not limited to inappropriate behavior during live sessions, fraudulent activities, or violation of platform policies.
4. Access to Purchased Content: Loss of access to purchased content due to account termination, creator departure, or technical limitations.

AuraRabbit provides its services "as is" and "as available," without warranties of any kind, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Scope of Limitation

1. AuraRabbit’s total liability for any claim arising from or related to these Terms, the use of the Platform, or services provided shall not exceed the total amount paid by the user or creator to AuraRabbit in the six (6) months preceding the event giving rise to the claim.
2. This limitation applies to all claims, including but not limited to contractual, tort, and statutory claims.

Force Majeure

1. AuraRabbit shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
2. This includes but is not limited to natural disasters, cyberattacks, internet outages, government actions, or other events classified as force majeure.

9. Dispute Resolution and Arbitration

Summary

All disputes related to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will take place in Delaware, unless both parties agree to an alternative location. Exceptions to arbitration, such as claims eligible for small claims court or intellectual property disputes, are outlined below.

Agreement to Arbitrate

Any disputes arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will take place in Delaware, unless both parties agree to an alternative location.

Exceptions

1. Claims eligible for small claims court.
2. Disputes relating to intellectual property rights, such as copyright or trademark violations.

Arbitration Process

1. Neutral Arbitrator: Arbitration will be conducted by a single, neutral arbitrator appointed under the rules of the AAA.
2. Binding Decision: The arbitrator’s decision shall be final and binding on all parties.

Costs

Each party shall bear its own arbitration costs unless otherwise required by law. The costs of arbitration, including filing, administrative, and arbitrator fees, will be allocated according to the rules of the AAA.

Opt-Out Clause

Users may opt out of this arbitration agreement by providing written notice to AuraRabbit within 30 days of agreeing to these Terms. Opt-out requests must include the user’s full name, email address, and a statement explicitly opting out of arbitration.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Arbitration shall take place in Delaware unless both parties agree to an alternative location. Each party will bear its own travel and accommodation costs unless otherwise required by applicable law.

International Users

For users outside the United States, these Terms will be governed by the laws of Delaware to the extent permissible by local laws. Users agree to resolve disputes through arbitration or other means as outlined in these Terms unless prohibited by local regulations.

10. Privacy

User Data Collection and Usage

1. User data is collected, used, and protected in accordance with our Privacy Policy.
2. Types of personal information collected:
   • Information provided during account registration.
   • Usage data, payment details, and interactions with the platform.
   • Social interaction data, including comments, likes, and messages.
3. Data Usage and Storage:
   • Secure storage of user data for platform functionality.
   • Account management, payment processing, and platform improvements.
   • Users can adjust content visibility through privacy settings.

Transparency and Social Features Privacy

• Visibility of Social Interactions: Comments and likes on public posts are visible to all platform users. Messages remain private between the sender and recipient unless flagged for violating platform policies.
• Privacy Controls: Users can choose whether their posts, comments, or social interactions are visible to everyone (public) or restricted to specific audiences (private). Settings are adjustable in user account preferences.

Live Session Recordings and Monitoring

1. All live sessions conducted on the platform are automatically recorded to ensure a safe and transparent environment.
2. Monitoring activities are temporary and aim to:
   • Ensure the technical functionality of live sessions.
   • Improve the user and creator experience.
   • Resolve disputes between users and creators, as detailed in Section 3.
   • Enable promotional opportunities for creators, with explicit permissions required, as outlined in Section 3.
3. Recordings Usage:
   • Recordings are handled with strict confidentiality.
   • Recordings will not be shared externally without explicit user or creator consent, except as required by law.

Recording Consent

1. Before participating in a live session, both users and creators must provide acknowledgment of AuraRabbit’s recording policy through a consent process:
   • Users: Users will be notified that all live sessions are recorded for safety, transparency, and quality purposes. They may either agree to participate in the session or opt-out (in which case their video feed will be blurred and their voice will be altered to ensure full anonymity).
   • Creators: Creators are required to acknowledge and consent to the recording policy to proceed with hosting sessions.
2. By providing acknowledgment, users and creators consent to the terms outlined in this policy. Failure to consent will prevent participation in the session.

Financial Data Security

1. Financial data provided by users is securely processed through third-party payment providers in full compliance with applicable data protection laws and industry standards.
2. All financial transactions are encrypted both in transit and at rest to ensure the highest level of security.
3. AuraRabbit does not store sensitive financial information directly; instead, payment details are handled exclusively by trusted third-party processors.
4. Regular security assessments are conducted to safeguard financial data and maintain the integrity of all transactions.

Modifications to Terms

AuraRabbit reserves the right to modify or update these Terms at any time.

1. For changes that significantly affect your rights or obligations, AuraRabbit will provide at least 30 days' prior notice via email or platform notifications.
2. You may be required to explicitly acknowledge and agree to the updated Terms before continuing to use the Platform.

Minor Updates

1. For minor updates that do not materially affect your rights, notifications may be provided through platform messages, website banners, or other non-intrusive methods.

Acceptance of Updates

1. Continued use of the Platform after any updates constitutes acceptance of the revised Terms.
2. If you do not agree to the updated Terms, you must stop using the Platform and may cancel your account as outlined in these Terms.

Acceptance of Terms

By accessing or using the AuraRabbit platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, including any updates or modifications as outlined above. If you do not agree to these terms, you must discontinue using the platform immediately.
